Payments, Fees and Stripe Connect Terms
Subscription billing, connected accounts, platform fees, payouts, refunds and disputes.
1. Roles
Stripe processes card and related payment services. For a direct charge made on an Operator's connected Stripe account, the Operator is the merchant of record, seller and party responsible for the customer charge, receipt, refund and dispute. The Platform Provider supplies technical facilitation and may collect an application/platform fee.
The Operator enters separate agreements with Stripe, including the applicable Stripe Services Agreement and Connected Account Agreement. These Terms supplement and do not replace Stripe's terms.
2. Onboarding and verification
The Operator must provide accurate identity, ownership, business, bank, tax and activity information requested by Stripe or the Platform; keep it current; and complete verification. Stripe may restrict charges or payouts. The Platform may pause online payments where status is incomplete, restricted, unlawful or creates material risk.
The Operator authorises the Platform to create and manage the connected-account configuration needed for the service, request account links, retrieve capability/status information, create direct charges and refunds, collect the disclosed application fee and receive relevant webhook events.
3. Customer charges
Before payment, the customer must see the Operator's identity, service, currency, itemised price, taxes, mandatory charges, total, cancellation policy and payment timing. The Platform will not add an undisclosed charge. Card details are submitted to Stripe-hosted or Stripe-controlled payment components. The Platform must not store full card numbers or security codes.
Payment may require authentication. An authorisation may expire or fail. A booking is not paid until the recorded payment status confirms it. The Operator must not represent an unpaid or failed payment as settled.
4. Platform commission
The commission percentage, commission-tax rate and calculation base are stated in the accepted Commercial Schedule and versioned policy. Unless that schedule says otherwise, commission is calculated on booking gross excluding booking tax and identified pass-through charges. Manual, offline and walk-in bookings may carry zero platform commission where the recorded policy says so.
Stripe processing, Connect, payout and foreign-exchange costs are separate from platform commission. They must not be silently described as included in the commission. Estimated amounts may be recorded at booking; final provider amounts must be reconciled from Stripe events.
5. Payouts
Stripe controls balance availability, reserves, payout timing and bank delivery under its terms. The Platform may allow the Operator to choose supported payout schedules but does not guarantee settlement time. The Operator is responsible for accurate bank details, negative balances, reserves, refunds, disputes and fees allocated to its connected account.
6. Refunds
Customer entitlement is determined by the frozen Cancellation Policy and mandatory law. The customer refund amount must not be reduced by internal commission or processing allocation. The Operator authorises the Platform to initiate or record approved refunds on the direct charge.
Unless the Commercial Schedule states otherwise, Stripe processing costs not returned by Stripe are borne by the Operator. Platform commission is retained for customer- and operator-responsibility refunds. The proportionate application fee is returned where responsibility is assigned to the Platform or the reason is duplicate, unauthorised or Platform error.
7. Disputes, fraud and negative balances
The Operator is responsible for direct-charge disputes, disputed principal, dispute fees and supporting service evidence. The Platform may transmit booking and acceptance evidence to Stripe. The Platform may suspend payments or access for excessive disputes, fraud, prohibited activity, negative balances or provider restrictions.
The Operator must not discourage lawful chargebacks through misleading statements. Duplicate recovery may be reversed. Allocation may be changed where the dispute resulted directly from a verified Platform error or where mandatory law requires it.
8. Taxes, invoices and receipts
The Operator is responsible for determining, collecting, reporting and remitting taxes on customer services and issuing legally required invoices/receipts. The Platform Provider is responsible for taxes on its own fees. Platform calculations and exports are operational tools, not tax advice.
9. Currency conversion
The booking currency must be shown before payment. Stripe, the card issuer or bank may apply conversion and fees. Where the Platform presents a conversion, it must disclose the source/rate or state that the final issuer rate applies. Refunds are issued in the original booking currency unless law or payment mechanics require otherwise.
10. Records and reconciliation
The Platform records booking totals, policy version, charge/refund/dispute identifiers, estimated and final fees, payouts and event timestamps. Stripe remains authoritative for provider-side payment events. Webhooks must be verified, idempotently processed and reconciled. The Operator must review reports and report discrepancies promptly.
11. Changes
Changes to operator fees apply prospectively after the notice period in the Platform Terms and Commercial Schedule. A confirmed booking retains its recorded fee policy. Stripe may change its own terms and pricing independently; where those changes materially affect Platform charges or Operator use, notice will be given when reasonably possible.
